Lender shall not be obliged to make the Advance (or any portion thereof) until the Borrower has supplied the following in a form, substance, and/or manner that is reasonably acceptable to the Lender (“Conditions Precedent”). For the avoidance of doubt, any funding by Lender of any portion of the Advance shall not be deemed, in any instance, a waiver of any of the following Conditions Precedent. The obligation to fulfill the Conditions Precedent shall remain in full force and effect until fulfilled by Borrower, regardless of any funds advanced by Lender. Delivery of a promissory note (the “Note”) executed by the Borrower for the benefit of the Lender incorporating the key repayment terms and conditions contained herein in form and substance reasonably satisfactory to Lender (the form attached hereto shall be deemed reasonably satisfactory) attached hereto as Exhibit “A”;
